Invento: Proposed acquisition of Osram's Digital Systems business unit focusing on lighting components

On June 14, 2022, Inventech signed the Equity and Assets Purchase Agreement with OSRAM GmbH ("Seller 1") and OSRAM S.p.A. ("Seller 2"), intending to purchase Seller 1 and Seller 2 in cash. The underlying assets are held directly or indirectly through its subsidiaries and affiliates.
The transaction consideration will be calculated according to the progress of the transaction, based on the basic purchase price of 74.5 million euros, and taking into account the total cash of the underlying assets, total financial liabilities and other data. The transaction is expected to constitute a major asset reorganization, and the relevant audit and evaluation work has not been completed.

Through this transaction, Inventel will use the market channels of the underlying assets to cover the company's main products with end-customer channels in the European region, and further improve the company's global layout in production, sales, R&D and other functions. In terms of finance, according to the simulated consolidated financial data (unaudited) of the underlying assets prepared by the counterparty in accordance with the International Accounting Standards, the operating income of the underlying company in fiscal years 2019/2020, 2020/2021 and the first quarter of 2021/2022 was 24,375.55 The net profit was -25,979,200, 2,383,100 and -379,400 euros, respectively.
After the transaction is completed, Inventel will obtain the R&D platform, sales network, customer resources, etc. of the underlying assets.
